INT Communications Web Site Template and/or Content Management System End User License Agreement

This Agreement is between INT Communications and You, Your heirs, agents, successors and assigns ("You"). The Effective Date of this Agreement shall be the date the template is online and accessible by You. By your use of INT Communications' services, including web hosting (Hosting), an INT Communications Web Site Template ("The Template") and Content Management System ("CMS") you acknowledge that you have read, understand and agree to be bound by all the terms and conditions of this Agreement.

Ownership
The Template and CMS are licensed, not sold. INT Communications grants you a non-exclusive license to the use of The Template with CMS for free as long as you are an Annual Small Business or Annual Large Business Hosting client with World Connect Hosting  - division of INT Communications - and have paid the hosting fees. You also acknowledge that you have read, understand and agree to be bound by all the terms and conditions of World Connect Hosting Web Site Hosting Agreement.

You may only use one Template per Hosting account. The Template includes an online CMS designed to allow you to enter and upload your own content, including text and images. The Template and CMS may only be hosted by World Connect Hosting. You cannot take The Template or CMS to other web hosts. You do not own The Template, even if you have requested and paid for custom changes to The Template.

INT Communications' Rights
INT Communications retains all rights to The Template and CMS. The source code is the exclusive property of INT Communications. You agree not to reverse engineer or otherwise attempt to uncover the source code.  Canadian and International Copyright laws protect the Template and CMS. All rights are reserved. Credit and copyright info for INT Communications must remain visible on each page when viewed on the Internet. Any links to wc-hosting.com, wpxdesign.com, agentwebsites.ca, my-mortgagebroker.com or any website owned by INT Communications must remain intact.

You must not use INT Communications' services for illegal or immoral activities such as sending spam, posting pornography, hate, slander. INT Communications reserves the right to terminate your hosting account if we deem your site inappropriate.

Modifications
You agree that INT Communications may modify this Agreement and the Services from time to time. You agree to be bound by any changes INT Communications may reasonably make to this Agreement when such changes are made. If You have purchased Services from INT Communications, the term of this Agreement shall continue in full force and effect as long as You take advantage of and use the Services. INT Communications may, at times, offer certain promotions with different charges and features.

Refund Policy / Cancellations/Renewals
In the event You terminate Your usage of the Web Site Template, INT Communications World Connect Yearly Hosting Plan Refund Policy applies. In addition, in the event You terminate Your usage of the template and CMS during the first year of hosting, a one hundred dollar set-up fee will be deducted from the refund. Accurate Information
You agree to maintain accurate information by providing updates to INT Communications, as needed, while You are using INT Communications' services. You agree You will notify INT Communications within five (5) business days when any change of the information You provided as part of the application and/or registration process changes. Failure by You, for whatever reason, to respond within five (5) business days to any inquiries made by INT Communications to determine the validity of information provided by You will constitute a material breach of this Agreement

If You provide any information that is inaccurate, not current, false, misleading or incomplete, or if INT Communications has reasonable grounds to suspect that Your information is inaccurate, not current, false, misleading or incomplete, INT Communications has the absolute right, in its sole discretion, to terminate its Services and close Your account.

Account Security
You agree You are entirely responsible for maintaining the confidentiality of Your customer login and password. For security purposes, You should keep Your customer login and password in a secure location and take precautions to prevent others from gaining access to Your customer login and password.

You agree that You will be entirely responsible for any and all activity in Your account, whether initiated by You, or by others on Your behalf, or by any other means. You agree INT Communications will not be liable for any loss that You may incur as a result of someone else using your customer login and password, either with or without Your knowledge, authorized by You or not. You agree to notify INT Communications immediately of any unauthorized use of Your account or any other breach of security.

Liability and Indemnification
INT Communications provides its templates and CMS as is without warranty or guarantee of any kind, either express or implied, including but not limited to, the implied warranties or conditions of merchantability or fitness for a particular purpose. In no event shall INT Communications be liable for any loss of profits, loss of business, loss of data, unsecured transactions, interruption of business, or for indirect, special, or consequential damages of any kind.

You shall indemnify and hold INT Communications harmless from and against any and all claims, liabilities, losses, costs, damages, expense, including consultants` and attorneys` fees and court costs, demands, causes of action, or judgments directly or indirectly arising out of or related to Your use of The Template and/or CMS.

Severability 
In the event of invalidity of any provision of this license, the parties agree that such invalidity shall not affect the validity of the remaining portions of this license.

Content on Website
You are responsible for ensuring that your web site conforms to all local, provincial, federal, and international laws. Further, you are responsible for securing permission to use any copyrighted, trademarked or otherwise legally protected images, text, or other web site elements that are not provided by INT Communications. You affirmatively acknowledge that INT Communications is relying on Your representation concerning Your proper use of content on any web site You create or control.
